Terms & Conditions – Inventory Protection Program (IPP)

1. By submitting this IPP Agreement, the Customer affirms that it is duly authorized and agrees to be legally bound by its terms, including all program descriptions listed in the associated Terms, and commits to purchasing the full quantities specified in this Agreement.

2. EVO will procure the agreed-upon Quantity in advance of each specified Release Date (Release Date option) or maintain inventory up to the agreed Quantity if no Release Dates are provided (Auto-Replenish option).

3. Under the Auto-Replenish option, EVO will automatically reorder material to maintain stock levels at the agreed Quantity after each release. If the full Quantity is not released within a 3-month period, EVO will suspend automatic ordering until the outstanding Quantity is released.

4. For any IPP agreement, the targeted timeframe for full release of the agreed upon Quantity is 3 months. If any portion of the agreed upon Quantity remains unreleased after 6 months, EVO will proceed to release and ship the remaining material to the Customer.

5. Due to variability in demand and supply lead times, availability of material by requested Release Dates is not guaranteed. EVO will adjust forecasts and supplier orders to minimize disruptions, but delays may occur until conditions stabilize.

6. If the Customer elects to exit the IPP, EVO requires 90 days’ written notice. The Customer is responsible for accepting all inventory in stock and/or on order specifically for them that cannot be reallocated or canceled.

7. Once the IPP is submitted, changes to Release Dates and agreed Quantities are not guaranteed.

8. EVO reserves the right to review IPP submissions for oversized products or those with high minimum order quantities (MOQs).
